Please read these Terms of Service carefully before using Pixloud. By creating an account or using any part of our service, you agree to be bound by these terms. If you do not agree, you may not use Pixloud.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "Host", or "User") and Pixloud Inc. ("Pixloud", "we", "us", or "our"), a company operating the services available at pixloud.com, pixloud.app, and pixloud.live (collectively, the "Service").

By accessing or using the Service, you affirm that you are at least 18 years of age, that you have the legal capacity to enter into this agreement, and that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service Description

Pixloud provides a live event memory wall platform that enables event hosts to:

Pixloud is a software platform only. We do not provide audio-visual equipment, internet connectivity, or on-site event staffing. The Host is responsible for the physical setup and infrastructure at their event.

3. Account Registration

To use the host features of Pixloud, you must register for an account. You agree to provide accurate and complete information during registration and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.

You must notify us immediately at security@pixloud.com if you suspect unauthorized access to your account. Pixloud is not liable for losses resulting from unauthorized use of your credentials.

4. Prohibited Content and Uses

You are solely responsible for all content uploaded to your events by you or your guests. By using Pixloud, you agree that you will not permit, encourage, or fail to moderate content that:

The following are strictly prohibited and may result in immediate account termination without refund:

4.1 Explicit and Adult Content

You must not allow the submission or display of sexually explicit content, nudity, or pornographic material of any kind. If your event wall displays explicit content, your account will be suspended immediately and permanently.

4.2 Harassment and Harmful Content

You must not use the Service to facilitate harassment, bullying, threats, hate speech, or discrimination based on race, ethnicity, nationality, gender, sexual orientation, religion, disability, or any other protected characteristic.

4.3 Biometric Data and Facial Recognition

You are expressly prohibited from using Pixloud's platform or any data collected through it for facial recognition, biometric identification, or any other automated processing of individuals' physical characteristics. Pixloud does not perform facial recognition and does not grant you any license to do so using our platform or guest-submitted photos.

5. Content License and Ownership

You and your guests retain ownership of all photos and content submitted to your events. By using the Service, you grant Pixloud a limited, non-exclusive, royalty-free license to store, process, display, and transmit submitted content solely for the purpose of operating the Service as directed by you.

This license terminates when you delete content, your event storage period expires, or you close your account. Pixloud does not use guest photos for advertising, model training, or any purpose beyond operating your event wall.

6. Payment Terms

Paid plans are billed as described on our Pricing page. All prices are in USD.

7. Refund Policy

We offer refunds in the following circumstances:

Refund requests must be submitted to billing@pixloud.com. We do not issue refunds for change of mind, partial use, or failure to cancel a subscription before renewal.

8. Intellectual Property

The Pixloud name, logo, branding, software, user interface, and documentation are the exclusive property of Pixloud Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not use our marks without our prior written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PIXLOUD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that guest-submitted content will meet your requirements or expectations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PIXLOUD INC. AND ITS OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR:

IN NO EVENT SHALL PIXLOUD'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PIXLOUD IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, the above exclusions may not fully apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pixloud Inc. and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) content submitted through your event; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party right.

12. Termination

Either party may terminate this agreement at any time. You may close your account by contacting support@pixloud.com or using the account deletion option in your dashboard settings.

Pixloud may suspend or terminate your account immediately and without notice if:

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with the retention schedule in our Privacy Policy.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any dispute arising from these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in English. You waive any right to participate in a class-action lawsuit or class-wide arbitration against Pixloud.

14. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers of material changes by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. The current version is always available at pixloud.com/terms.
